KTI Limited Acquires AF Hall

2016

I am very pleased to announce that KTI Limited has entered into a Definitive Agreement to acquire the Assets of AF Hall. This acquisition will close Wednesday August 31, 2016 and as of September 1, 2016 AF Hall will operate as "AF Hall a Division of KTI Limited".

AF Hall has been servicing the Natural Gas Industry for over 50 years with a terrific portfolio of Products and Services.  We are very excited about this transaction as we feel AF Hall is on the precipice of substantial growth and with KTI Support and Resources, we anticipate tremendous growth in Product Sales, Pre-Fabrication and additional Service Offerings.

In general, the scope of products currently offered by AF Hall are highly complementary to the KTI Product Lines. We have also been impressed with the quality of people at AF Hall and in combination with their similar business model, it was a very natural fit as we welcome Chris and Justin Harrington plus all of their dedicated staff to the KTI Family.

As the companies are combined we anticipate a seamless transition.  There will be no substantial change in the near future to the way they are operating and supporting our mutual Customers and Vendors. Where there are favorable conditions to offer additional support, we will certainly leverage those, such as increased and localized inventory in our three state of the art facilities across Canada. KTI has invested heavily in our Infrastructure over the last few years in preparation for this type of growth and we are excited to see some of these plans come together.

Thanks to all involved for the hard work and dedication as we continue on our path of providing Long Term and Sustainable Value to you, our Customers and Vendors.

You will also be hearing from our Sales Team as we work through the details in how this transaction may affect your day to day communications with KTI and AF Hall.

Please do not hesitate to contact myself or our team if you have any questions.

Sincerely,

M. Dean Iwai

President
